Our Services include AI visibility scanning and monitoring, AI-optimized content creation and publishing, hosted blog management, brand voice analysis, knowledge base management, and related analytics and reporting tools. We also provide API access for programmatic visibility scanning. The specific features and functionalities may vary based on your account type and subscription level.

3. Account Terms

3.1 Account Creation

To use Our Services, you must be at least 18 years old. When creating an account, you agree to provide accurate, current, and complete information. You are solely responsible for maintaining the security of your account credentials and must not share them with any third party. You agree to notify us immediately of any unauthorized access or security breach of your account.

3.2 Subscriptions and Credits

Our Services are offered across multiple subscription tiers (Free, Starter, and Pro), each with different feature access and credit allowances. Credits are consumed when using AI-powered features such as visibility scans and content generation. All accounts are subject to usage quotas and rate limits, which we may modify at any time. Premium features are subject to availability and may be modified or discontinued at our discretion.

4. AI-Powered Features and Content

4.1 AI-Generated Content

Our Services use artificial intelligence to generate content including blog posts, social media content, content briefs, and visibility analysis reports. You retain full and sole responsibility for reviewing, editing, approving, and publishing any AI-generated content. We do not guarantee the accuracy, completeness, originality, or suitability of AI-generated content for any purpose. AI-generated content may contain factual errors, outdated information, unintentional similarities to existing copyrighted works, or statements that are misleading or inappropriate for your specific context.

You must review all content before publication and ensure it meets your standards, complies with applicable laws and regulations, and is appropriate for your intended audience and use. By publishing or distributing AI-generated content, you accept full responsibility for that content as if you had created it yourself. Pendium.ai bears no liability for the consequences of publishing AI-generated content, including but not limited to reputational harm, legal claims, regulatory penalties, or negative business outcomes.

4.2 Third-Party Platform Compliance

When publishing content to third-party platforms (including social media, WordPress, Webflow, or other CMS platforms), you must comply with all terms, policies, and guidelines of those platforms. We are not responsible for any restrictions, suspensions, or bans imposed by third-party platforms as a result of content published through our Services.

4.3 AI Visibility Data

Our visibility scanning features query AI platforms to assess how they perceive and recommend your brand. The results represent a point-in-time snapshot and may vary as AI models are updated. We do not guarantee specific visibility scores or outcomes. Visibility data is provided for informational purposes and should not be the sole basis for business decisions.

4.4 Search Engine, AI Platform, and Online Visibility Impact

You acknowledge and agree that content created, optimized, or published using Our Services may affect how search engines (including Google, Bing, and others), AI platforms, and other online discovery systems index, rank, perceive, or display your website, brand, or business. These effects may be positive, negative, or neutral, and may include but are not limited to:

  • Changes in search engine rankings, indexing, or visibility for your website or web properties
  • Algorithmic penalties, de-ranking, or removal from search engine results
  • Changes in how AI platforms reference, recommend, or characterize your brand
  • Fluctuations in organic traffic, referral traffic, or customer acquisition
  • Impacts on domain authority, page authority, or other third-party metrics
  • Unintended consequences from content volume, publishing frequency, or content optimization strategies

Pendium.ai does not control and cannot predict how search engines, AI platforms, or other third-party systems will respond to content published using Our Services. Search engine algorithms, AI model behaviors, and platform policies change frequently and without notice. Strategies that are effective at one time may become ineffective or counterproductive as these systems evolve.

You accept sole responsibility for all decisions regarding what content to create, publish, or distribute using Our Services, and for any resulting impact on your search engine rankings, AI visibility, website traffic, online reputation, or business performance. We strongly recommend consulting with qualified SEO and digital marketing professionals regarding your content strategy.

4.5 No Guaranteed Outcomes

Pendium.ai does not guarantee any specific results from the use of Our Services. Without limiting the generality of the foregoing, we make no representations or warranties regarding:

  • Improvements in search engine rankings, AI visibility, or online discoverability
  • Increases in website traffic, leads, sales, or revenue
  • The effectiveness of AI-generated content for any particular marketing, SEO, or business objective
  • Consistency or accuracy of AI visibility scores over time
  • The suitability of our recommendations or content for your specific industry, market, or regulatory environment

Past performance, case studies, or results achieved by other users of Our Services do not guarantee similar outcomes for your business. Results vary based on numerous factors outside our control, including your industry, competition, content quality, implementation, and changes to third-party platforms and algorithms.

5. Content Publishing and Hosted Blogs

5.1 Hosted Blog Services

Our Services include hosted blog functionality that allows you to publish content on a Pendium-hosted subdomain. You retain ownership of all content you publish through our hosted blog. We reserve the right to remove content that violates these Terms. Blog availability is subject to your active subscription, and we may discontinue hosting upon account termination.

5.2 External Publishing

Our Services may integrate with third-party content management systems (such as WordPress and Webflow) to publish content. When using these integrations, you are responsible for maintaining valid connection credentials. We are not responsible for content published to external platforms once it has been transmitted, or for any issues arising from third-party platform availability or policies.

6. User Responsibilities and Assumption of Risk

Your use of Our Services is subject to your ongoing compliance with these Terms and all applicable laws. You agree not to:

  • Use Our Services for any illegal purpose or in violation of any laws or regulations
  • Infringe upon any intellectual property rights or other proprietary rights
  • Engage in fraudulent activities or deceptive practices
  • Attempt to breach or compromise our system security or infrastructure
  • Interfere with other users' access to or use of Our Services
  • Create multiple accounts to circumvent restrictions or abuse our platform
  • Resell, redistribute, or commercially exploit Our Services without authorization
  • Publish content generated through Our Services without first reviewing it for accuracy, appropriateness, and compliance with applicable laws
  • Rely solely on Our Services for critical business, legal, or regulatory decisions without independent professional advice

Violation of these responsibilities may result in immediate termination of your access to Our Services and potential legal action.

6.1 Assumption of Risk

By using Our Services, you expressly acknowledge and assume all risks associated with:

  • Creating, publishing, or distributing content generated or optimized by Our Services, including any impact such content may have on your business, brand, reputation, or legal standing
  • Any changes in search engine rankings, indexing, or penalties (including Google algorithmic or manual penalties) that may result from content strategies implemented using Our Services
  • Any changes in how AI platforms perceive, recommend, or reference your brand
  • The effect of content volume, publishing frequency, or optimization techniques on your website's standing with search engines and other platforms
  • Any third-party claims, disputes, or legal actions arising from content created using Our Services
  • Business losses, including but not limited to lost revenue, lost customers, or reputational damage, that may arise from the use of Our Services or reliance on AI-generated content or visibility data

You are solely responsible for determining whether any content, strategy, or recommendation provided by Our Services is appropriate for your particular circumstances. You should exercise your own independent judgment and, where appropriate, seek professional advice before acting on any output from Our Services.

7. Data and Privacy

7.1 Data Collection and Use

Our collection and use of information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Our Services, you agree to our collection, storage, and use of data as described in the Privacy Policy. We collect usage data, analytics, brand information, content data, and visibility scan results necessary for operating and improving Our Services.

7.2 Data Security

We implement industry-standard security measures to protect user data and maintain platform integrity. However, no security system is impenetrable, and we cannot guarantee absolute security. You acknowledge and accept the inherent security risks of using online services. We are not liable for data breaches or unauthorized access resulting from factors beyond our reasonable control.

8. Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of Our Services at any time, including:

  • Adding, removing, or modifying features and functionality
  • Changing pricing structures and premium terms
  • Updating API limitations and access requirements

API access for programmatic visibility scanning is subject to rate limits and usage restrictions. We maintain the right to enforce these limits to ensure platform stability. While we strive to maintain consistent service levels, we do not guarantee uninterrupted availability or specific performance metrics.

10. Termination

We may terminate or suspend your access to Our Services immediately, without prior notice or liability, for any reason, including:

  • Violation of these Terms or other platform policies
  • Engagement in illegal or prohibited activities
  • Failure to pay applicable fees
  • Actions that pose a risk to our platform or other users
  • Any other reason at our sole discretion

Upon termination, your right to use Our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Intellectual Property

All rights, title, and interest in and to Our Services, including all intellectual property rights, remain our exclusive property. These Terms do not grant you any rights to use our trademarks, logos, domain names, or other brand features. You may not:

However, by using Our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works of, distribute, and display such content for the purpose of operating and improving Our Services. We may preserve or disclose your content if required by law or in good faith belief that such action is necessary.

12. Disclaimers and Limitations

12.1 Service Availability and Warranty Disclaimer

Our Services are provided on an ’as is’ and ’as available’ basis, without any warranties of any kind, whether express or implied. We do not warrant that Our Services will be uninterrupted, secure, or error-free. Our Services may be subject to:

To the maximum extent permitted by law, in no event shall Pendium.ai, its officers, directors, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, data, use, goodwill, or other intangible losses
  • Damages resulting from service interruption or malfunction
  • Damages from unauthorized access or data breaches
  • Damages related to AI-generated content or visibility data
  • Loss of search engine rankings, organic traffic, or online visibility, including any algorithmic or manual penalties imposed by search engines
  • Negative impacts on AI platform perception, recommendations, or references to your brand
  • Business losses arising from content strategies, publishing decisions, or optimization approaches implemented using Our Services
  • Costs of remediation, recovery, or professional services needed to address any negative impacts from content published using Our Services
  • Any other damages arising from your use of Our Services

These limitations apply whether the alleged liability is based on contract, tort (including negligence), strict liability, or any other legal theory, and even if Pendium.ai has been advised of the possibility of such damages.

Our total aggregate liability for any and all claims under these Terms shall not exceed the lesser of (a) the amount you have paid us in the six months preceding the claim, or (b) one hundred dollars ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless Pendium.ai and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of Our Services
  • Content generated, published, or distributed through Our Services, including any claims of intellectual property infringement, defamation, or regulatory non-compliance
  • Any impact on search engine rankings, AI platform visibility, website traffic, or online reputation resulting from your use of Our Services
  • Any business losses, customer complaints, or third-party claims arising from content strategies you implemented using Our Services
  • Any claims by third parties relating to your activities
  • Your failure to review, verify, or appropriately modify AI-generated content before publication

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You agree that any legal action or proceeding shall be brought exclusively in the federal or state courts located in Delaware. You waive any objection to jurisdiction and venue in such courts.

You agree to waive any right to participate in class action litigation against pendium.ai. Any claims must be brought in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

15. Data Processing Roles

For the purposes of applicable data protection laws (including the GDPR):

  • Data Controller: Pendium.ai acts as the data controller when we determine the purposes and means of processing your personal data, including account management, billing, platform analytics, and service communications.
  • Data Processor: Pendium.ai acts as a data processor when we process data on your behalf and at your instruction, including generating content based on your brand information, running visibility scans for your brand, and publishing content to your connected platforms.
  • Sub-processors: We engage third-party sub-processors (such as AI language model providers, cloud hosting providers, and payment processors) to assist in delivering Our Services. A list of our sub-processors is available upon request by emailing legal@pendium.ai.

Where we act as a data processor, we process your data only in accordance with your instructions and applicable data protection laws. For more information about our data processing practices, see our Privacy Policy.

16. DMCA and Copyright Infringement

We respect intellectual property rights and respond to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (DMCA). If you believe that content available through Our Services infringes your copyright, you may submit a DMCA takedown notice to our designated agent with the following information:

  • A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing, with information reasonably sufficient to permit us to locate it

Upon receipt of a valid DMCA notice, we will remove or disable access to the allegedly infringing material and notify the content provider. Counter-notices may be submitted in accordance with the DMCA. Repeated infringers may have their accounts terminated.

17. Third-Party Intellectual Property Indemnification

You represent and warrant that any materials you upload to Our Services (including knowledge base content, brand assets, images, and text) do not infringe the intellectual property rights of any third party. You agree to indemnify and hold Pendium.ai harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from allegations that materials you provided to Our Services infringe third-party intellectual property rights.

18. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of Our Services following the posting of revised Terms constitutes acceptance of the changes. We may, but are not required to, provide additional notice of significant changes.

19. General Provisions

19.1 Force Majeure

Pendium.ai shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics or pandemics, war or terrorism, government actions or regulations, power failures, internet or telecommunications failures, cyberattacks, or failures of third-party service providers (including AI model providers, cloud hosting services, and payment processors).

19.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

19.3 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Pendium.ai regarding your use of Our Services. These Terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Pendium.ai relating to the subject matter hereof.

19.4 Waiver

No failure or delay by Pendium.ai in exercising any right or remedy under these Terms shall operate as a waiver of such right or remedy. A waiver of any right or remedy on one occasion shall not be construed as a waiver of any right or remedy on any subsequent occasion.

19.5 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. Pendium.ai may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets without your consent.

AI-Generated Content and Visibility Data Risks

You acknowledge and agree that:

Search Engine and Online Visibility Risks

You acknowledge and understand that:

  • Content created, optimized, or published using Our Services may positively or negatively affect your website's search engine rankings, indexing status, and overall online visibility;
  • Search engines (including Google, Bing, and others) may impose algorithmic or manual penalties on websites that publish content they deem to be low-quality, manipulative, spammy, or otherwise in violation of their guidelines, and such penalties may result from content published through Our Services;
  • Pendium.ai has no control over search engine algorithms, ranking factors, indexing decisions, or penalty assessments, and cannot predict how search engines will respond to any specific content;
  • Content strategies that are effective at one point in time may become ineffective or counterproductive as search engine algorithms and AI platform behaviors evolve;
  • You are solely responsible for determining the appropriateness of any content strategy, publishing frequency, or optimization approach for your specific website and business;
  • Pendium.ai is not liable for any loss of search engine rankings, organic traffic, revenue, customers, or business opportunities resulting from content published using Our Services;
  • Recovery from search engine penalties or ranking losses may be difficult, time-consuming, or in some cases impossible, and Pendium.ai bears no responsibility for assisting with such recovery.

Third-Party Platform Risks

You acknowledge and understand that:

  • Our Services integrate with third-party platforms including AI language model providers, social media platforms, and content management systems;
  • These third-party services may change their APIs, terms, or availability at any time, which may affect our Services;
